All resourcesDifferent structures, different trade-offs
A private dentist may offer a direct ownership transition and closer clinical continuity. A DSO or group may offer operating support and a partial sale, but often expects an ongoing clinical commitment.
Compare what you actually receive
Cash at closing, deferred payments, earnouts and rollover equity are not interchangeable. Future payments and equity value depend on conditions and risk. Ask what is guaranteed, what is contingent and what you must do after closing.
Negotiate beyond price
Compare compensation, autonomy, staffing, non-compete terms, real estate and transition expectations. Have qualified legal and tax advisors review the structure. The highest headline number is not automatically the best fit.
